General Terms and Conditions (AGB)

§ 1 Scope, provider

These AGB (General Terms and Conditions) apply to all contracts for the use of the SaaS application "Finanzigo" between ⚠️ NOCH ZU ERGÄNZEN, ⚠️ NOCH ZU ERGÄNZEN, ⚠️ NOCH ZU ERGÄNZEN ⚠️ NOCH ZU ERGÄNZEN (hereinafter "Provider") and the registered user (hereinafter "Customer"). The contract is intended exclusively for entrepreneurs within the meaning of § 14 BGB, not for consumers.

§ 2 Conclusion of the contract

The contract is concluded by registering a user account and its confirmation by the Provider (e.g. by activating the account). The Provider may reject a registration without giving reasons.

§ 3 Description of services

The Provider makes available to traders (Gewerbetreibende) a web-based application for invoicing, preparing quotes, expense management, tax overviews and data export (for the scope of functions see the product page/documentation). The Provider is entitled to adjust the scope of functions as part of further development, provided this does not result in a material deterioration of the main service owed under the contract.

Finanzigo does not replace tax, legal or business advice. All tax calculations, deadline information and form-filling aids are non-binding guideline values; binding information is provided exclusively by a tax adviser (Steuerberater) or the competent Finanzamt.

§ 4 Prices and payment

The price list communicated to the Customer and current at the time the contract is concluded applies (net plus statutory VAT (Umsatzsteuer)). For chargeable additional services (e.g. card payment processing via Stripe Connect), the fees/charges shown separately there apply.

§ 5 Customer obligations

The Customer is solely responsible for the accuracy and completeness of the data they enter (in particular invoice details, tax data, third-party client data). The statutory obligation to keep proper books and retain records (§ 147 AO, GoBD) remains with the Customer as a taxpayer in their own right; the Provider merely provides technical tools for this (including a GoBD export archive, see the privacy policy).

The Customer must keep their access credentials secret and inform the Provider without undue delay of any misuse of their account.

§ 6 Availability

The Provider endeavours to ensure high availability of the application but does not guarantee any particular availability unless separately agreed in writing (no SLA in the basic version). Maintenance work is carried out outside normal business hours wherever possible and announced in advance.

§ 7 Term and termination

The contract runs for an indefinite period and may be terminated by the Customer at any time by deleting the account in the account settings. The Provider may terminate the contract with 30 days' notice to the end of a month; the right to extraordinary termination for good cause remains unaffected.

§ 8 Liability

The Provider is liable without limitation for intent and gross negligence and under the Product Liability Act (Produkthaftungsgesetz). In the event of a slightly negligent breach of essential contractual obligations (Kardinalpflichten), liability is limited to the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded. The above limitations of liability do not apply to injury to life, body or health.

§ 9 Data protection

The handling of personal data is governed by the privacy policy and the data processing agreement (AVV, available in the company settings).

§ 10 Changes to these AGB

The Provider may amend these AGB with effect for the future if this is necessary due to changes in the legal framework or the further development of the service. The Customer will be informed of changes with reasonable notice and may object; in the event of an objection, the Provider may terminate the contract with ordinary notice.

§ 11 Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). To the extent permitted by law, the place of jurisdiction for all disputes arising from this contract is the Provider's registered location. Should individual provisions of these AGB be invalid, the validity of the remaining provisions remains unaffected.
